If your company is based in the UK, we can add a new level of effectiveness to your executive share options plans through our innovative Executive Share Option Schemes Finance and Dealing Service. This service provides funding to help your employees exercise their options, pay any associated tax liabilities, and limit their exposure to market risk.
We do this by offering an interest-free loan, which is immediately repaid by your employees when they sell sufficient shares held under option. The proceeds from the sale of their shares are also used to fund their tax liabilities and associated dealing costs. The balance is then paid to the employees' designated bank accounts.
This is an alternative to a cashless exercise, under which your company would give employees a number of shares equal to the difference between their value and the exercise price less any tax liabilities. Unlike a cashless exercise, the interest-free loan is not considered a restriction on the shares by HM Revenue & Customs.
